These Terms and Conditions (“Terms”) govern access to and use of ctrl-lab services (“Services”) provided by Calendla LLC (“ctrl-lab,” “we,” “us,” or “our”). By creating an account, installing, accessing, or using the Services, you agree to these Terms.

ctrl-lab provides Shopify-focused tools and related services, including A/B testing setup and routing, analytics and attribution reporting, onboarding and installation support, team access management, and subscription billing features.

You represent that you are at least 18 years old, have authority to bind the business/store you represent, and will use the Services only for lawful business purposes.

You are responsible for account activity, access control, and security of authorized email accounts and devices. You must keep account information accurate and notify us promptly of unauthorized access. Team invitees and users under your account are your responsibility.

You authorize ctrl-lab to process store-related data and configuration required to operate the Services. You are responsible for obtaining all permissions required to install apps, modify theme code, and run experiments in your Shopify environment.

The current standard plan is USD $29 per month per store, with a 14-day free trial (unless otherwise agreed in writing). Billing is handled through Stripe and renews on a recurring basis until canceled. You are responsible for applicable taxes and payment method validity.

If payment fails, trial expires, or billing is otherwise inactive, some or all Service features (including A/B testing functionality) may be restricted until billing status is restored.

You may cancel using available billing controls, including Stripe billing portal access where provided. Cancellation typically takes effect at the end of the current billing period unless otherwise required by law.

Except where required by law, fees are non-refundable once charged.

To provide the Services, ctrl-lab may process store and experiment data, including pseudonymous identifiers, page/template and section metadata, event logs, and attribution-related order metrics. Your use is also subject to our Privacy Policy: https://www.ctrl-lab.co/privacy-policy

You are responsible for your store’s legal compliance, including required notices/consents, customer disclosures, and compliance with applicable privacy, consumer, marketing, and ecommerce laws.

You may not use the Services to violate laws, infringe rights, interfere with the platform, bypass technical controls, transmit malicious code, or engage in fraud, abuse, or deceptive practices.

The Services may depend on third-party providers (including Shopify and Stripe). We are not liable for third-party outages, policy changes, interruptions, or acts outside our control.

ctrl-lab and its licensors retain all rights in the Services, software, documentation, and branding. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use the Services during an active trial/subscription.

A/B testing, significance outputs, attribution, and analytics are decision-support tools only. They are not guarantees of conversion uplift, revenue, profitability, or any business outcome.

To the fullest extent permitted by law, the Services are provided “as is” and “as available,” without warranties of any kind, express or implied.

To the fullest extent permitted by law, ctrl-lab is not liable for indirect, incidental, special, consequential, punitive, or exemplary damages, or for lost profits, revenue, data, or goodwill. ctrl-lab’s aggregate liability for claims arising from the Services will not exceed the total fees paid by you to ctrl-lab in the 3 months before the event giving rise to the claim.

You agree to defend, indemnify, and hold harmless ctrl-lab, Calendla LLC, and related parties from claims, damages, liabilities, and costs arising from your store operations, content, products, pricing, legal non-compliance, misuse of the Services, or breach of these Terms.

We may suspend or terminate access for non-payment, legal risk, abuse, or material breach. Upon termination, your right to use the Services ends immediately, and surviving provisions remain in effect.

We may update these Terms from time to time. Updated Terms are effective when posted with a revised effective date. Continued use of the Services after updates constitutes acceptance.

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. Any dispute arising out of or relating to these Terms will be brought exclusively in the state or federal courts located in Delaware, and each party consents to that jurisdiction and venue.
